Terms of Service

1. Acceptance and Eligibility
By accessing or using the Guest Networks platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
You must be at least 18 years old and legally capable of entering into contracts to use the Service. We reserve the right to refuse access to anyone for any reason at any time.
2. Service Description
Guest Networks provides a multi-tenant, platform-agnostic data layer for physical spaces. The Service enables operators (business customers) to:
- Ingest real-time events from WiFi, camera, environmental, HVAC, safety, access control, and point-of-sale hardware via normalised connectors.
- Store and query time-series sensor data through a REST API and the Model Context Protocol (MCP).
- Build AI-agent workflows that reason over physical-space data.
- Manage venues, zones, and hardware integrations through the portal or API.
The Service is provided “as a platform” — Guest Networks does not own, operate, or control the underlying physical hardware or the spaces in which it is deployed.
3. Pricing and Billing
Guest Networks offers the following subscription tiers. Prices are in USD and billed monthly unless you elect an annual plan (20% discount):

All fees are non-refundable except where required by applicable law. If you downgrade or cancel, you retain access until the end of your current billing period. We reserve the right to change pricing with 30 days' written notice.
4. User Obligations
You agree that you will not:
- Use the Service for any unlawful purpose or in violation of any applicable regulation.
- Attempt to scrape, crawl, or extract data from the Service in bulk outside of the documented API.
- Reverse-engineer, decompile, or attempt to extract the source code of any component of the Service.
- Share, resell, or sublicense API keys without prior written consent.
- Send malformed, synthetic, or misleading sensor data to inflate usage metrics or confuse downstream AI agents.
- Attempt to circumvent rate limits, authentication controls, or tenant isolation mechanisms.
- Use the Service to store or transmit content that infringes third-party intellectual property rights.
5. Acceptable Use — Sensor and Video Data
Guest Networks processes the data you send us. We are a data processor — you are the data controller. You are responsible for:
- Obtaining all required consents, licenses, and permits to collect sensor data from individuals in your spaces.
- Displaying required notices (e.g., CCTV signage) in compliance with local law.
- Ensuring that data collected from children under the age of 13 (or applicable local age threshold) is not ingested unless you have obtained verifiable parental consent.
- Complying with GDPR, CCPA, and any other applicable privacy regulations as a data controller.
6. Data Ownership
You own your data. Sensor events, venue records, and all other data you ingest remain your property. Guest Networks does not sell operator data to third parties.
By using the Service, you grant Guest Networks a limited, non-exclusive, royalty-free license to store, process, and transmit your data solely as necessary to provide the Service. This license terminates when you delete your account.
Guest Networks may use aggregate, anonymised, non-identifying usage statistics (e.g., total API requests per day, distribution of connector types) for product analytics and marketing purposes.
7. Service Level Agreement (SLA)
Guest Networks targets 99.9% uptime per calendar month for paid plans (Team and above), measured at the API gateway. This equates to approximately 43 minutes of allowable downtime per month.
- Free tier — no uptime commitment. Best-effort availability.
- Team / Business — 99.9% monthly uptime target. Service credits issued for shortfalls.
- Enterprise — custom SLA with committed response times negotiated per contract.
Scheduled maintenance windows (communicated at least 48 hours in advance), force majeure events, and issues caused by third-party infrastructure are excluded from SLA calculations.
Service credits are your sole remedy for uptime shortfalls and are limited to a pro-rata refund of the monthly fee for the affected period.
8. Termination
By you. You may cancel your subscription at any time through the billing portal. Your account will remain active until the end of the current billing period.
By us. We may suspend or terminate your access immediately if you materially breach these Terms, engage in fraudulent activity, or create legal or security risk for Guest Networks or other users. We will provide notice where feasible.
Upon termination, your venue, zone, and integration records are soft-deleted (flagged is_active = false). Raw sensor events are retained per the data retention schedule in our Privacy Policy and then automatically dropped. You may request a data export within 30 days of termination.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GUEST NETWORKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, EVEN IF GUEST NETWORKS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GUEST NETWORKS'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
10. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. GUEST NETWORKS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GUEST NETWORKS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. Indemnification
You agree to indemnify, defend, and hold harmless Guest Networks and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. The arbitration will take place in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
13. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated by email or portal notice at least 14 days before they take effect. Continued use of the Service after that period constitutes acceptance of the revised Terms.
